Terms of Service

1. Acceptance of Terms

By accessing or using the MyEcomClaw website (myecomclaw.com) and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

These Terms constitute a legally binding agreement between you ("Customer," "you," "your") and MyEcomClaw ("we," "our," "us"), operated by Space-O Technologies. If you are using our services on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Definitions

  • "Agent" — An OpenClaw AI agent instance configured and deployed by MyEcomClaw on Customer's infrastructure.
  • "Store" — Customer's e-commerce store (Shopify, WooCommerce, or marketplace account) connected to the service.
  • "Client Infrastructure" — The VPS, Mac Mini, or other server hardware owned or provisioned for the Customer on which Agents operate.
  • "Agent Action" — Any action taken by an Agent through connected APIs, including reading orders, updating inventory, sending messages, or processing data.
  • "BYOK" — Bring Your Own Key. Customer provides their own LLM API keys (e.g., OpenAI, Anthropic), stored on Customer's infrastructure only.
  • "Managed Credits" — Optional add-on where MyEcomClaw provisions LLM API keys on Customer's infrastructure.
  • "Ecommerce Data" — Order data, customer data, inventory data, product data, and analytics data processed through the service, all of which resides on Customer's infrastructure.
  • "OpenClaw" — The open-source AI agent framework (MIT licensed) upon which our service is built.

3. Service Description

MyEcomClaw is a managed OpenClaw deployment service for e-commerce. We provide:

  • Deployment of OpenClaw on your own private server (VPS or Mac Mini)
  • Pre-configured agents for orders, inventory, customer support, marketing, and orchestration
  • Platform-specific skills for Shopify (primary), with WooCommerce, Magento, Amazon, and Walmart support
  • Ongoing management, maintenance, updates, security patches, and support
  • Messaging channel integration (Slack, WhatsApp, Telegram, Discord, Email)

3.1 What MyEcomClaw Is Not

  • We are not a data host or data processor — we never store your ecommerce data on our servers
  • We are not a direct store management tool — we never log into your Shopify admin
  • We are not a payment processor — we never touch your customers' card data
  • We are not a replacement for human oversight of business-critical decisions
  • We are not a guarantee of sales, revenue, or specific business outcomes

4. Account Registration

To use our service, you must create an account. You agree to:

  • Provide accurate, complete, and current information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access to your account
  • Accept responsibility for all activity that occurs under your account

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our services.

5.2 Billing Terms

  • Subscriptions are billed monthly in advance via Stripe
  • Billing begins on the date of service activation
  • You authorize us to charge your payment method on file for recurring monthly fees and any applicable add-ons
  • Failed payments will be retried per Stripe's retry schedule. Continued failure may result in service suspension
  • All prices are in USD unless otherwise stated
  • Prices do not include applicable taxes, which will be added where required

5.3 AI Credits

By default, all plans operate on a BYOK (Bring Your Own Key) model — you provide your own OpenAI or Anthropic API key and pay the LLM provider directly. Managed AI Credits are available as an optional add-on starting at $49/month, which includes a 25% management markup over pass-through cost.

5.4 Plan Changes

You may upgrade your plan at any time. Upgrades take effect immediately, and you will be billed the prorated difference for the remainder of the billing cycle. Downgrades take effect at the start of the next billing cycle.

6. Setup Fees

Each plan requires a one-time setup fee to cover server provisioning, agent deployment, configuration, and initial testing:

Setup fees are charged at the time of service activation and are non-refundable, as they cover labor and resources already expended.

7. Refund Policy

7.1 Setup Fees

Setup fees are non-refundable. These fees cover the one-time cost of server provisioning, agent deployment, platform configuration, and initial testing — work that is completed before or at the time of service activation.

7.2 Monthly Subscriptions

Monthly subscription fees are billed in advance and are generally non-refundable for partial months. You may cancel your subscription at any time, and service will continue until the end of the current billing period. No refunds are provided for unused portions of a billing period.

7.3 Exceptions

If we fail to deliver the core service as described (agent deployment and activation on your infrastructure) within 14 days of payment, you may request a full refund of the monthly subscription fee. This does not apply to delays caused by Customer (e.g., delayed API key provision or server access).

8. Data Ownership

This is a core principle of our service. You own all of your data.

  • Your ecommerce data (orders, customers, inventory, products, analytics) resides on your own server at all times. MyEcomClaw never stores this data on our infrastructure.
  • Agent configurations, rules, templates, and action logs are stored on your server. You own them completely.
  • API keys (Shopify, LLM, integrations) are stored on your server as environment variables. We do not retain copies.
  • If you leave, you take everything with you. OpenClaw is MIT licensed — there are no proprietary components. You can continue running your agents independently with zero lock-in.
  • You have full SSH/admin access to your server at all times.

MyEcomClaw retains only: account information, billing records (via Stripe), and support ticket history — as described in our Privacy Policy.

9. Acceptable Use

You agree not to use MyEcomClaw's services to:

  • Sell illegal, counterfeit, or prohibited products
  • Engage in fraud, misrepresentation, or deceptive business practices
  • Send spam or unsolicited mass messaging to customers
  • Scrape competitor data or prices through agent misuse
  • Circumvent Shopify's or any connected platform's terms of service
  • Process payments outside of Shopify-approved methods
  • Manipulate reviews, ratings, or search rankings using agents
  • Sell regulated products (firearms, pharmaceuticals, tobacco) without proper licensing
  • Violate export control regulations or sanctions
  • Interfere with or disrupt the integrity of our services
  • Reverse-engineer our proprietary management and monitoring systems

MyEcomClaw reserves the right to suspend agent maintenance access immediately if prohibited use is detected, report illegal activity to law enforcement and the relevant platform, and terminate accounts without refund for violations of these Terms.

10. AI Agent Disclaimer

Important: AI agents are powerful tools, but they are not infallible. You acknowledge and agree to the following:

  • AI agents may take incorrect, unexpected, or undesired actions with real business consequences, including incorrect inventory updates, wrong order information, inaccurate pricing, or inappropriate customer communications
  • MyEcomClaw does not guarantee the accuracy of any Agent Action
  • You are solely responsible for reviewing and supervising Agent Actions
  • You must maintain human oversight of all business-critical operations, including financial transactions, refunds, and customer communications
  • We recommend enabling confirmation prompts for financial transactions (refunds, price changes, inventory adjustments)
  • LLM providers (OpenAI, Anthropic) may experience outages, rate limits, or changes that affect agent behavior. These are outside MyEcomClaw's control
  • You must inform your own customers if AI agents are involved in support interactions, as may be required by applicable law (including the EU AI Act)

The SLA applies only to MyEcomClaw's management and maintenance of agents on your server. We cannot guarantee uptime or availability of third-party services including Shopify, LLM providers (OpenAI, Anthropic), your hosting provider, or Composio.

Scheduled maintenance windows will be communicated at least 24 hours in advance. Emergency security patches may be applied without prior notice.

12. Termination

12.1 Customer-Initiated Termination

  • You may cancel your subscription at any time. Service continues until the end of the current billing period.
  • You retain full ownership of your server, agents, data, and all configurations. OpenClaw is MIT licensed — no lock-in.
  • MyEcomClaw's Tailscale VPN access to your server is revoked immediately upon termination.
  • You should independently revoke MyEcomClaw's access in your Shopify admin settings.
  • You can continue running your OpenClaw agents independently after termination.

12.2 MyEcomClaw-Initiated Termination

  • For business reasons (service shutdown, scope change): 30 days' written notice.
  • For Terms violations, fraud, or illegal activity: Immediate termination without refund.
  • Regardless of termination reason, you retain your server and all data.

12.3 Post-Termination Data

  • Agent configurations, logs, and data: Remain on your server (your responsibility)
  • MyEcomClaw account information: Deleted within 30 days
  • Billing records: Retained for 7 years (tax/accounting requirements)
  • Support tickets: Retained for 2 years, then purged

13. Intellectual Property

13.1 OpenClaw (MIT Licensed)

OpenClaw is open-source software released under the MIT License. You have full rights to use, modify, and distribute OpenClaw and its components in accordance with the MIT License. MyEcomClaw does not claim ownership of OpenClaw or its ecosystem.

13.2 MyEcomClaw Proprietary Elements

The following are proprietary to MyEcomClaw and protected by applicable intellectual property laws:

  • MyEcomClaw brand, name, logos, and website content
  • Our proprietary management, monitoring, and deployment tooling
  • Custom skill configurations and templates created by MyEcomClaw (though the underlying OpenClaw skills remain MIT licensed)
  • Documentation, training materials, and support content

You may not reproduce, distribute, or create derivative works of MyEcomClaw proprietary materials without our written consent.

13.3 Your Content

You retain all rights to your ecommerce data, business content, and any materials you provide to us. You grant MyEcomClaw a limited license to access your server solely for the purpose of delivering the managed service.

14. Limitation of Liability

14.1 Cap on Liability

MyEcomClaw's total aggregate liability arising out of or related to these Terms or the service shall not exceed the greater of: (a) the amount you paid MyEcomClaw in the 12 months preceding the claim, or (b) $500.

14.2 Exclusion of Damages

To the maximum extent permitted by law, MyEcomClaw shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Lost sales, revenue, or profits
  • Lost inventory or stock due to agent errors
  • Platform account suspension or penalties
  • Customer relationship damage
  • Cost of procurement of substitute services
  • Business interruption
  • Data loss on your infrastructure (you are responsible for backups)

14.3 Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure.

15. Indemnification

15.1 Customer Indemnifies MyEcomClaw For

  • Your violation of Shopify's or any connected platform's terms of service
  • Sale of prohibited, counterfeit, or illegal products
  • Failure to comply with consumer protection laws
  • Claims from your buyers arising from your business practices
  • Misuse or misconfiguration of agents (after handoff)
  • Tax, customs, or regulatory violations in your business

15.2 MyEcomClaw Indemnifies Customer For

  • Claims that our configuration or maintenance infringes third-party intellectual property rights
  • Claims arising from our gross negligence or willful misconduct
  • Claims arising from our breach of confidentiality obligations
  • Unauthorized disclosure of your data caused by our security failure during remote access

16. Agency & Referral Program

MyEcomClaw offers an agency referral program through Rewardful. By participating, agency partners agree to the following:

  • Commission rates: 20% recurring on Starter and Growth plan referrals; 25% recurring on Scale plan referrals
  • Payment: Monthly, 30 days after the referred client's payment clears
  • Tracking: All referrals are tracked via Rewardful with a partner dashboard
  • Agencies must not make false or misleading claims about MyEcomClaw's capabilities
  • Agencies must not engage in spam, misleading advertising, or cookie stuffing
  • MyEcomClaw reserves the right to modify commission rates with 30 days' notice
  • MyEcomClaw may terminate a partner's participation for violations of program terms

17. Third-Party Services

MyEcomClaw integrates with third-party services including Shopify, OpenAI, Anthropic, Composio, Stripe, Tailscale, and others. We are not responsible for:

  • The availability, accuracy, or practices of third-party services
  • Changes to third-party APIs, pricing, or terms
  • Data processing by LLM providers when agents make API calls from your server
  • Your hosting provider's uptime, security, or data protection

Your use of third-party services is subject to their respective terms and conditions. We encourage you to review the terms and privacy policies of all third-party services connected to your deployment.

18. Force Majeure

Neither party shall be liable for failure or delay in performance due to causes beyond its reasonable control, including but not limited to:

  • Natural disasters, government actions, or pandemics
  • AI provider outages (Anthropic, OpenAI service disruption)
  • Shopify API changes, deprecations, or outages
  • OpenClaw upstream breaking changes or security vulnerabilities
  • Government-imposed AI restrictions or emergency regulations
  • Widespread internet infrastructure failures
  • Your hosting provider's outages

The affected party must notify the other party within 24 hours of becoming aware of the force majeure event, with an estimated impact and recovery timeline.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising out of or related to these Terms shall be resolved through binding arbitration in Ontario, Canada, except that either party may seek injunctive relief in a court of competent jurisdiction.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

20. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Notify you by email at least 30 days before changes take effect
  • Update the "Last updated" date at the top of this page
  • Post the revised Terms on our website

Your continued use of the service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the changes, you may terminate your subscription before the effective date.
